SOUTH NORWALK, CT, October 17, 2000 -- In advance
of the U.S. Securities & Exchange Commission's October 23rd adoption of
the new Fair Disclosure regulation, EDGAR Online, Inc. (Nasdaq:
EDGR) has launched FD Express (www.FD-express.com), a Web site addressing
the new regulation.
"Savvy market players and investors will be
looking at the surge of new disclosure filings made as a result of the
new Fair Disclosure rule. EDGAR Online is making all these filings
available in one place --- FD Express," said Jay Sears, senior vice president
for EDGAR Online, Inc. The volume of 8-K filings, disclosures of
unscheduled material events, is expected to double over the next 12 months
due to the new Fair Disclosure rule. "Form 8-Ks are the anti-press release,
now more than ever." said Sears.
Companies file 8-Ks to report unscheduled material
events including changes in control, acquisition or disposition of assets,
bankruptcy, changes in accountant, director resignations and other material
events. Other disclosure filings on FD Express include Form 425.
The new Web site provides an analysis of the new Fair
Disclosure rule by the law firm Morrison & Foerster LLP, a selection of
comment letters submitted to the SEC on the rule, and a real-time listing
of fair disclosure filings made to the SEC.
Regulation FD
The Fair Disclosure Rule is the result of the SEC's
effort to level the playing field for all investors by requiring all U.S.
public companies to fully disclose material data and relevant information
that may influence investment decisions to all investors at the same time,
not just selectively to analysts and insiders before events occur.
