These Terms of Use shall be governed by and construed and enforced in accordance with the laws of the State of New York, as it is applied to agreements entered into and to be performed entirely within that State, without giving effect to any principles of conflicts of laws. Any legal action concerning these Terms of Use or the use of the EOL Services must be brought within one (1) year after the claim or cause of action arises and must be brought only in either the state or federal courts located in New York County, New York, and you expressly consent to the jurisdiction of said courts.

8. SEVERABILITY AND INTEGRATION.

If any provision of these Terms of Use shall be determined to be unlawful, void, or for any reason unenforceable by a court of competent jurisdiction, then that provision shall be deemed severable from these Terms of Use and shall not affect the validity and enforceability of any remaining provisions.

9. NON-DISPARAGEMENT.

You agree that during and after the term of your agreement, you shall not knowingly vilify, disparage, slander or make disparaging or derogatory remarks, whether oral or written, about EOL, its business or business practices, or any of its past, present, or future officers, directors, employees, agents, customers or suppliers.

10. MODIFICATION OF TERMS OF USE.

EOL reserves the right, in its sole discretion, to modify, alter, or otherwise revise these Terms of Use at any time without notice and you agree to be bound by such modifications, alterations, and revisions. Accordingly, you should review these Terms of Use regularly.
